By providing Client Materials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such materials solely for the purpose of providing Services to you.
8.3 Deliverables and Work Product
Upon full payment of all fees, you will receive the rights to deliverables as specified in your service agreement. Typically, this includes:

8.4 Portfolio and Marketing Rights

9. Client Responsibilities
To ensure successful delivery of Services, you agree to:

- Maintain appropriate backups of your data and systems

10. Project Timelines and Delays
We will make reasonable efforts to meet agreed-upon timelines. However, timelines are estimates and may be affected by:

We will notify you promptly of any anticipated delays and work with you to minimize their impact.
11. Warranties and Disclaimers

11.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We do not guarantee specific results from our SEO, marketing, or other services.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIYASHAKTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to us for the Services in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Siyashakti, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any materials you provide to us.
14. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship. This includes:
- Business strategies and plans
- Technical information and specifications
- Financial information
- Customer and vendor information
- Any information marked as confidential
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
15. Termination
15.1 Termination by Either Party
Either party may terminate a service agreement with written notice as specified in the agreement. Unless otherwise stated, termination requires 30 days' written notice.
15.2 Termination for Cause
Either party may terminate immediately if the other party:
- Materially breaches these Terms and fails to cure within 15 days of notice
- Becomes insolvent or subject to bankruptcy proceedings
- Engages in illegal or fraudulent activities
15.3 Effects of Termination
Upon termination:
- You must pay for all services rendered up to the termination date
- We will deliver completed deliverables upon receipt of payment
- We will return or destroy your confidential information as requested
- Provisions that by their nature should survive will remain in effect

Our Services may integrate with or link to third-party services, applications, or websites. We are not responsible for the content, functionality, or practices of these third parties. Your use of third-party services is governed by their respective terms and policies.
